Terms and Conditions of the 5th Call to Participate

Leading the Change Event

 

1. Repsol Foundation: organizing entity

1.1. The Repsol Foundation, a Spanish social entity holding Tax Identification Number (NIF) G-81251860, with registered offices at Calle Méndez álvaro No. 44 - Madrid, Spain, (hereinafter "Repsol Foundation"), as part of its commitment to drive initiatives that address the social needs of the communities in which the Repsol Group is active, is launching a call to participate in an event titled "Leading the Change" (hereinafter the "call to participate"), which shall be governed by the terms and conditions established in these Terms and Conditions (hereinafter "Terms and Conditions").

1.2. The Repsol Foundation shall organize the call to participate in collaboration with Fundación Lealtad and with the heads of certain areas of the Repsol Group involved in its development or management.

Both Fundación Lealtad and the aforementioned area heads of the Repsol Group shall inform those who receive the call to participate about how to take part in the event and about its contents.

2. Aim of the call to participate of the Leading the Change Event

The call to participate in the present event is part of the Repsol Foundation's Volunteering Plan and aims to promote the social commitment and solidarity of participants ― as described in item 6.1. below ― and to channel their social concerns, so that they will design and propose volunteering projects in collaboration with non-profit entities, in an effort to address the social needs of their communities (hereinafter, the "projects").

3. Term of the call to participate

The call to participate will run from April 2, 2024, the date on which the submission period for project proposals will open, until December 31, 2025, when the execution of the Projects will end.

The call to participate will be divided into the following phases:

1.      Project submission period: from April 2 to June 6, 2024

2.      Announcement of selected projects: July 4

3.      Execution period: from June 6, 2024, to December 31, 2025

4. Free of charge

The call to participate is free of charge, such that no fee or payment is required to participate or to obtain the award that is the object of the call, with the exception of those expenses, fees and/or taxes applied to the selected projects, in conformity with the Terms and Conditions, which will be paid by the participants as per the applicable fiscal law.

5. Acceptance of the Terms and Conditions

5.1. Participating in this event implies the full and unconditional acceptance of these Terms and Conditions, without exceptions or reservations.

5.2. The Repsol Foundation reserves the right to modify, and even to cancel, the Terms and Conditions of this call to participate, at any moment, and commits to publish the new Terms and Conditions or, in the event of cancellation, to publish the definitive cancellation of the call to participate through the same channels used to divulge the present call to participate.

6. Requirements and procedure for the submission and selection of project proposals

6.1. Participating volunteers

6.1.1. Employees [1], former employees, early retirees and retirees https://voluntariado.enub.es/es/bases-legales - _ftn1of the Repsol Group, Repsol Foundation, Repsol Impacto Social and investee companies of the Repsol Group may submit Projects to the call to participate, provided that:

- They reside in the countries where the Repsol Group is present

- They have registered as volunteers of the Repsol Foundation (hereinafter "lead volunteers") through the Repsol Volunteering web page: www.voluntariado.fundacionrepsol.com

- External personnel, interns or those involved in on-the-job training may not participate in the call to participate.

6.1.2. The same project may be submitted by several lead volunteers [2] jointly, as long as all of them, individually, have registered for the call to participate published on the Repsol Foundation website indicating that they belong to the same team. In such as case, they must choose a representative of the team as spokesperson. The said spokesperson will act as contact for the team throughout the entire period of the call to participate, as explained in detail in the following item, and will fill out the form with the project data.

6.1.3. The lead volunteers of the selected projects, in their capacity as leaders, will act as liaisons between the Repsol Foundation and the social entities that benefit from the Projects. Consequently, during the time needed to develop and implement the initiative, there will be direct communication with the lead volunteers of the selected projects.

6.1.4. The lead volunteers commit to collaborating with the Repsol Foundation to divulge the selected Projects. To this end, they will participate in the interviews, image capture processes and reports organized by the Repsol Foundation and must complete in advance the corresponding form for the transfer of image rights provided by the Repsol Foundation for this purpose.

6.1.5. The Repsol Foundation is not responsible for possible losses, deterioration, delays or any other circumstance attributable to third parties that may affect the implementation of the call to participate.

The Repsol Foundation is not responsible for any incident in which the lead volunteers may be involved during the call to participate period.

6.2. Submission of project proposals

6.2.1. The period for submitting project proposals will run from April 2, 2024, to June 6, 2024, 11:59 p.m. (GMT +2).

Project proposals submitted outside the indicated deadlines will not be taken into consideration.

6.2.2. In order to participate, the spokesperson selected by the lead volunteers must submit the project proposals through the form located in the following link.

Only project proposals received through the aforementioned form made available for this purpose will be accepted. The above notwithstanding, after receiving the proposal, the Repsol Foundation may require additional information, for which it will contact the lead volunteers so that they may provide it through the email address indicated in the proposal.

6.2.3. For the project proposals to be properly submitted and admitted, the form must be completed in its entirety; participants will be able to add an additional explanatory report and include the complete and necessary information, so that the following aspects may be assessed:

- Identification of the project's general and specific aims

- Description of project activities, phases, and execution schedule (for those activities in which volunteers collaborate [3], their functions and estimated number of participants must be detailed)

- Identification of beneficiaries [4] (estimated number and description)

- Detailed and broken-down budget, including both the contribution offered by the Repsol Foundation and that received from other collaborating entities.

-Identification of Sustainable Development Goals (SDGs) and the goals that the project is expected to have an impact upon.

- Establishment of criteria and indicators for measuring project impact, in relation to the social, economic, and environmental sphere, following the model to be provided by the Repsol Foundation.

            The project proposal must include a video, not to exceed 15 minutes in length, with the relevant points about the project's development or, failing that, a self-explanatory presentation of the project.

6.2.4. Only applications related to specific Projects that meet the requirements included in the Terms and Conditions will be accepted.

6.3. Assessment of project proposals

6.3.1 Minimum requirements: the project proposals submitted must meet each and every one of the following minimum requirements to be assessed:

·         Projects must be implemented with the collaboration of a legally constituted and registered non-profit entity (hereinafter, the “beneficiary entity”).

·         The projects shall be executed in an area where the Repsol Group is present.

·         The project must address a social need related to the aims of the beneficiary entity.

·         A minimum of thirty volunteers must collaborate in the execution of some of the activities specified in the project proposal. At least one of the volunteer activities will be divulged by the Repsol Foundation through its website, as specified by item 8.2 of the Terms and Conditions.

·         The project must be fully executed between July 4, 2024, and December 31, 2025.

·         Spanish beneficiary entities must have been operational for at least a full financial year of activity and have annual accounts.

- In the case of foundations, they must have registered their annual accounts and activities report in the Foundation Registry.

- In the case of public utility associations, they must have registered their annual accounts and activities report in the corresponding registry.

- All other entities must have their annual accounts approved at their General Shareholder's Meeting.

Similarly, social entities that are not domiciled in Spain must also have annual accounts and these must have been approved by their governing body.

·         In addition to the Project proposal, the lead volunteers must provide the Repsol Foundation with the following documentation related to the beneficiary entity:

- Certificate of registration in the corresponding registry or equivalent document that certifies the legal personality and non-profit nature of the beneficiary entity and, where applicable, its registration according to the regulations in force in their country of operation.

- Certificate of beneficial ownership, as per the model that the Repsol Foundation provides in the project proposal submission form.

- Annual accounts, including, at least, the balance sheet and the income statement, and, where applicable, the financial report of the last full financial year.

Spanish public utility foundations and associations must also attach the certificate of deposit of the accounts or, where applicable, the submission entry for the accounts in the corresponding registry.

Spanish religious associations and entities, as well as entities domiciled outside of Spain, must attach a certificate of approval of the annual accounts issued by their governing body.

- Copy of the powers of attorney of the persons acting on behalf of the beneficiary entity.

- Due diligence questionnaire on Personal Data Protection, provided by the Repsol Foundation.

- Proof that the beneficiary entity holds a bank account that can receive wires in euros or US dollars and whose owner is the beneficiary entity itself.

In no case may the account of the beneficiary entity be in the name of a natural person, nor be located in non-cooperative jurisdictions, in accordance with Order HFP/115/2023, of February 9, 2023, and the modifications and criteria included in both Additional Provision 1 of Law 36/2006 (as per the wording found in Law 11/2021) and its subsequent updates, as well as the list of non-cooperative jurisdictions prepared by ECOFIN currently in force or in accordance with the tax regulations applicable in each country.

In accordance with Law 10/2010, of April 28, on the Prevention of Money Laundering and the Financing of Terrorism and its implementing regulations, the Repsol Foundation must apply appropriate due diligence procedures in order to identify and know its counterparts, including their professional trajectory and the good reputation of the people responsible for their management.

·         The Repsol Foundation may additionally require the following documents from beneficiary entities:

- Activities report from the last full financial year

- Certificate attesting that they are up to date in the payment of their labor-related and tax obligations

- Up-to-date list detailing the members of their governing bodies

Similarly, beneficiary entities must provide the Repsol Foundation with any additional information that they deem relevant prior to formalizing the corresponding agreement.

This additional documentation must be provided within a maximum term of seven calendar days from the moment it is requested by the Repsol Foundation. In the event that the documentation is not delivered on time, is not complete, or its review shows that the beneficiary entity does not meet the requirements established in these Terms and Conditions, the Repsol Foundation reserves the right to request a refund or deny the financial assistance to the beneficiary entity and select another project among the finalists evaluated by the Evaluation Committee.

6.3.2. Assessment criteria: The project selection process will be carried out on the basis of the following assessment criteria:

Ø  SCOPE OF ACTION. The Projects must contribute to an inclusive and fair energy transition, taking into account:

- Green employment: Facilitate the hiring of people in vulnerable situations in green jobs

- Energy efficiency and poverty: Reduce the energy vulnerability of people in situations of social vulnerability, empower them through the use of energy and contribute to a more sustainable orientation of the third sector

- Green entrepreneurship and social innovation: Achieve greater economic sustainability of the third sector, identifying new opportunities in energy transition, as well as develop innovative solutions to eco-social problems

- Awareness raising and carbon footprint reduction: Achieve greater awareness and environmental commitment among employees (volunteers)

Ø  The following UN Sustainable Development Goals (SDGs):

§  SDG 8: Decent Work and Economic Growth

§  SDG 10: Reduced inequalities

§  SDG 12: Responsible consumption and production

§  SDG 13: Climate action

Ø  SOCIAL IMPACT Projects must contribute significantly to drawing attention or finding a solution to a social problem, allowing the people affected to improve their quality of life and affording them access to opportunities. Therefore, the number of direct beneficiaries the project is expected to have and its relevance in this connection will be assessed. Similarly, the identification of the SDGs to which the project could potentially contribute will be positively considered.

Ø  MOBILIZATION OF VOLUNTEERS. Projects must have the potential to involve more volunteers with a significant role, taking into account the concept of volunteering established in the Volunteer Law 45/2015 of October 14. Similarly, they must value the skills and competencies of the volunteers who are at the service of the benefited communities.

Ø  EXPERIENCE OF THE BENEFICIARY ENTITY. The experience and capacity to execute the project and coordinate the participation of the lead volunteers of the entity with which the Project is intended to be developed will be valued.

Ø  INNOVATION. Projects must present innovative measures with high potential to provide a solution to a social need Thus, the use of innovative strategies and resources with the aim of addressing a specific social problem will be positively valued, as well as proposals for alternative solutions that incorporate new processes.

Ø  SUSTAINBAILITY. Incorporating strategies to transfer capabilities to the population, or a social organization, is highly valued, as they can give continuity to projects and/or benefit others. Therefore, the implementation of mechanisms that give the projects social and economic viability following the intervention of the lead volunteers will be valued.

Ø  SCALABILITY. Projects must have a clear structure that makes them easy to understand and spread their message, so that they can be shared and implemented by others. Projects that are inspiring for others and can be executed in subsequent editions with the same or lower costs in any community where the Repsol Group is present will therefore be valued.

6.3.3. Additional assessment criteria: In addition, the Repsol Foundation will positively review projects whose beneficiary entities:

·         In the case of associations, if they have been declared of public utility (for entities domiciled in Spain) or have a similar status in the country where the entity has its headquarters.

·         Conduct external audits of accounts if it is not legally mandatory.

·         Have the Accredited NGO Seal issued by Fundación Lealtad, for beneficiary entities domiciled in Spain, or have other certificates or seals related to transparency and good practices in the case of beneficiary entities domiciled outside of Spain.

6.3.4. Exclusions and considerations: In addition to the previous minimum requirements, when submitting a project during the call to participate, the following will be taken into account:

·         All projects that are ultimately only aimed at obtaining financial aid to pay the management expenses of the beneficiary entity or for the hiring of personnel and/or professionals, and/or for the financing of material resources will be excluded.

·         Applications relating to projects submitted and executed by foundations and associations of companies or groups of companies, universities, educational centers and/or business schools, individuals, social works of savings banks or government entities are expressly excluded from consideration.

·         One and the same beneficiary entity may be the recipient of financial aid granted to different projects, submitted by different lead volunteers, as long as each of the projects addresses different social needs in the community.

·         The lead volunteers may submit as many different projects as they wish, with the same or different beneficiary entities, as long as they can guarantee that they have the capacity to lead them and participate directly as coordinators of the activities, in the event that all their projects submitted to this call to participate are selected.

·         Project proposals that do not present the documentation related to the corresponding beneficiary entity will not be assessed. This documentation is detailed in item 6.3.1. of the Terms and Conditions.

·         Projects linked to social entities that do not allow payments through wires in euros or American dollars.

6.4. Project selection

6.4.1. Assessment of Project proposals

Once the deadline for submitting project proposals has ended, the selection process will be divided into three phases:

1. Pre-selection phase: Fundación Lealtad will carry out a first assessment of the projects, for which it will consider the following (as provided in item 6.3 of these Rules):

1. The minimum project submission requirements

2. The assessment criteria

3. The additional criteria

If necessary, Fundación Lealtad will request additional information about the Project proposals submitted, to obtain concrete information and clear any doubts about them.

Fundación Lealtad will ensure the quality and suitability of the proposals, selecting those with the best assessment.

2. Assessment phase: an Assessment Committee, made up of experts appointed by the Repsol Foundation, will assess the project proposals that have been chosen in the pre-selection phase and will select a maximum of ten projects from among these.

3. Decision of the Assessment Committee: The decision will be made public on the Repsol Volunteering website on July 4, as well as through the channels that the Repsol Foundation deems appropriate, upon prior notification to the lead volunteers, in writing, to the email address provided in the application form.

The Assessment Committee reserves the right to select the number of projects it deems appropriate, taking into account the quality of the projects received.

similarly, the Repsol Foundation may declare the call to participate void when it considers that the rigor of the project proposals submitted does not meet the expectations of the objectives of the call to participate.

6.4.2. Documentation required for selected projects

Once the assessment committee's decision is issued, the selected projects must provide the Repsol Foundation with the following documentation, duly completed, and signed, within a maximum period of 15 calendar days from when it was requested:

Certificate of ownership of the bank account, issued in the last twelve months of its presentation, into which the deposit will be made. The certificate must include the name of the banking entity, its SWIFT code, IBAN number, account number and owner. The owner of the bank account must be the beneficiary entity collaborating with the selected project. In no case may the account of the beneficiary entity be in the name of a natural person, nor be located in non-cooperative jurisdictions, in accordance with Order HFP/115/2023, of February 9, 2023, and the modifications and criteria included in both Additional Provision 1 of Law 36/2006 (as per the wording found in Law 11/2021) and its subsequent updates, as well as the list of non-cooperative jurisdictions prepared by ECOFIN currently in force or in accordance with the tax regulations applicable in each country. The bank account provided must be able to receive wires in euros or US dollars.

 Collaboration agreement, as per to the model provided by the Repsol Foundation, regulating the collaboration between the Repsol Foundation and the beneficiary entity.

 Affidavit of liability, as per the model provided by the Repsol Foundation, certifying that the entity is not involved in judicial incidents or irregular activities, as well as confirmation that they know and accept the Code of Ethics and Conduct of the Repsol Foundation's collaborators and suppliers.

7. Financial aid

7.1. The selected Projects may receive financial aid of up to twenty thousand euros (€20,000). This amount will be deposited directly into the account of the beneficiary entities working with the selected projects. The disbursement of the financial aid will be divided into two payments of €10,000: the first will be made effective after signing the collaboration agreement described in item 6.4.2., and the second payment in March 2025, upon submission of the corresponding monitoring report to the Repsol Foundation, justifying the suitability of the second payment.

The beneficiary entities of the selected projects must allocate the amount received in full and exclusively to the development of the projects.

The beneficiary entity will deliver to the Repsol Foundation the corresponding certifications accrediting the financial aid issued by the Repsol Foundation and a report with documentation detailing the financial and operational scope of the use of the financial aid received from the Repsol Foundation.

7.2. In accordance with the legislation on the prevention of money laundering, foreseen in Law 10/2010 and in its regulatory framework in force, the Repsol Foundation, as an entity subject to these regulatory provisions, will fulfill the obligations of identification of the beneficiary entities.

7.3. The Repsol Foundation will issue the payment of the financial aid to the beneficiary entities of the selected projects once they have provided, in a timely manner, the documentation requested in the pertinent section of item 6.4.1.

7.4. Any taxes that apply to the selected projects will be the responsibility of each of the parties, as per the applicable tax regulations.

8. Execution of selected projects

8.1. The lead volunteers of the selected projects will execute them as of the date of the first payment of the financial aid until December 2025.

8.2. The project proposal will include at least one volunteer action that the Repsol Foundation will divulge through the Repsol Volunteering website, in which Repsol Foundation volunteers will take part. However, they must register as Repsol Foundation volunteers through the Repsol Volunteering website and register for said actions.

To this end, the lead volunteers will convey to the Repsol Foundation, in the project proposal, the calendar of volunteer activities. Should the project proposal be selected and if necessary, the Repsol Foundation will meet with the lead volunteers and the beneficiary entity to specify the details of the suggested volunteer activities.

8.3. The Repsol Foundation will monitor the development of the selected Projects on a regular basis.

The project team will be required to provide information measuring the impact and the progress made to date, through a brief meeting in November 2024, May 2025, and September 2025.

The impact measurement, proposed by the Repsol Foundation, will be adapted to each selected project; the lead volunteer, together with the beneficiary entity, will adapt the indicators that will serve to monitor and evaluate the progress of the projects.

8.4. Following the execution of the selected projects, the lead volunteers will submit the final report to the Repsol Foundation, presenting the results of each project, before December 31, 2025. The said report must contain a report of activities and the justification of expenses and must comply with the budget and the activities described in the project proposal presentation form.

Once the projects have been completed, the Repsol Foundation may request that lead volunteers present their projects and results before the Repsol Foundation steering committee.

9. Declaration by lead volunteers

Upon submitting project proposals, lead volunteers will guarantee that:

·         The projects presented are original and/or can freely and legitimately use any ideas, texts, images or any other element subject to intellectual and/or industrial property rights that has been incorporated into them.

·         The information provided in the projects does not contain confidential information or secrets of third parties or, where applicable, that they have the authorizations and licenses that allow for their communication within the framework of this call to participate.

·         They have full legal and legal capacity to take part in the call to participate in the initiative and that their participation does not violate any rule of any kind.

·         The Repsol Foundation will not be liable for any damage, loss, cost, loss, claim, sanction, or any other consequence arising from the presentation of the projects.

10. Data protection

10.1. Taking part in the call to participate is voluntary and requires the processing of personal data which, in compliance with the provisions of the applicable regulations in this matter, will be done as described below.

In particular, we inform you that your personal data will be processed by the Repsol Foundation, with registered offices located at 28045 Madrid, c/Méndez álvaro, 44, in its capacity as data controller, for the purpose of managing your participation in this contest.

In particular, we will process your name, surname, telephone number, email, date of birth and ID/passport, for the sole purpose of managing your participation in the call to participate and complying with the participation requirements established in these legal bases. To this end, we will use the aforementioned data to manage your registration in the call to participate, to review your project, and to grant the prize, if the project is selected.

Similarly, and provided you grant authorization through the corresponding form, the Repsol Foundation will also process your image and voice for your participation in the interviews and reports organized in connection to this contest. The aforementioned form will contain a specific clause that will inform you about the processing of your personal data and the terms governing the transfer of your image and voice.

We inform you that the Repsol Foundation will process your personal data during the period of the call to participate. When this contest ends, the Repsol Foundation will keep said personal data duly blocked for the purposes of compliance with the legal obligations that may apply, and in order to make it available to the competent public administrations, courts and tribunals or the Attorney General's Office.

Additionally, we inform you that your personal data will be shared with Fundación Lealtad, with registered offices at Plaza de Manuel Becerra, 16, 5° Izquierda, Salamanca, 28028 Madrid, for the sole purposes of managing your participation in the call to participate and, particularly, to process your data in the pre-selection phase of the project. The Repsol Foundation will not share your personal data with any additional third parties, except with public organizations, judges and courts when required by the relevant regulations.

11. Exemption from liability and reservation of rights

11.1. The Lead Volunteers undertake not to participate in the initiative with content that incorporates illegal, obscene, pornographic, abusive, defamatory, misleading, or racist  materials, or materials contrary to morality or public order, advertising and any content that may be offensive and/or damage the image of the Repsol Foundation, as well as of third-party natural and/or legal persons, and/or that may constitute a violation of their rights.

11.2. Similarly, lead volunteers and Repsol Foundation volunteers undertake not to introduce any type of computer virus, defective files that may cause damage or unauthorized alterations to the contents, programs or accessible systems.

11.3. In the event of non-compliance with what is established here, the Repsol Foundation may immediately suspend your participation and, where appropriate, remove the supposedly illegal content without thereby entitling the lead volunteer to any kind of claim in this connection.

11.4. Similarly, the Repsol Foundation reserves the right to disqualify, prevent the participation of or even withdraw the financial aid granted to the beneficiary entities collaborating with the selected projects if:

·         They are misusing the means made available to them to participate in the initiative

·         Are preventing the proper development of the initiative

·         Carry out any fraudulent acts, acts that harm other lead volunteers or Repsol Foundation volunteers, which contravene its transparency, as well as those lead volunteers who have benefited directly or indirectly from this type of fraudulent actions.

11.5. The Repsol Foundation reserves the right to not grant financial aid in the event that there are reasonable and well-founded reasons to believe that a lead volunteer has violated any of these terms and conditions.

In the event that the first payment has been received and the project will not be carried out or the requirements established in this call are not met, the full financial aid must be reimbursed to the Repsol Foundation.

11.6. The Repsol Foundation may act as indicated in previous paragraphs both at its sole and exclusive discretion and at the request of an affected third party. This shall not limit the right of the Repsol Foundation to pursue all civil or criminal actions that may apply.

11.7. In the event that the call to participate could not be carried out, either due to detected fraud, technical errors or any other reason that is not under the control of the Repsol Foundation, and that affects the normal development of the initiative, the Repsol Foundation reserves the right to cancel, modify, or suspend the initiative, without thereby entitling lead volunteers or Repsol Foundation volunteers to demand that the Repsol Foundation assume any liability in this connection.

11.8. The Repsol Foundation is not responsible for possible deficiencies, delays or any other circumstance attributable to third parties that may affect participation via the Internet, including possible deficiencies or outages in telecommunication lines, or the malfunction of the web pages that may be used in this initiative, for reasons beyond the control of the Repsol Foundation.

12. Legislation and resolution of disputes

12.1. These Terms and Conditions and this call to participate, as well as any relationships derived from it, between the lead volunteers and/or the beneficiary entities and the Repsol Foundation, will be subject to the common, applicable Spanish legislation in force.

12.2. Any controversy that may arise regarding the interpretation of these Terms and Conditions, as well as any controversy that may arise between the lead volunteers and/or the beneficiary entities and the Repsol Foundation that cannot be resolved amicably within a period of thirty days from its communication to the other party, will be submitted to the competent courts and tribunals of Madrid.

 


[1] Employees of the Repsol Group, Repsol Foundation, Repsol Impacto Social and affiliated companies of the Repsol Group are considered to be those who reside in countries in which the Repsol Group is present and have an employment contract with one of these entities, valid at least until December 2023.

[2] A lead volunteer is a person who is registered as such on the Repsol Foundation volunteering website and who collaborates in a supportive, altruistic, free, and open manner with their time and knowledge as the promoter of the project submitted for the “Leading the social change” call, together with their chosen social organization.

[3] A volunteer is someone who is registered as such on the Repsol Foundation volunteering website and who collaborates in a supportive, altruistic, free, and open manner with their time and knowledge in the actions or initiatives carried out within the framework of any of the projects developed within the “Leading the social change” call, generating a positive impact on a group at risk of social exclusion or on the environment.

[4] Beneficiaries are the people who are positively and directly impacted as a result of the development of the actions or initiatives carried out within the framework of any of the projects developed within the call to participate in the “Leading the change” initiative.
